Practice Subscription Agreement

This Practice Subscription Agreement ("Agreement") is between Doctorbook Pty Limited ("DocBook", "we"", "us", or "our") and You, a service provider seeking to accept appointments through the DocBook online practice booking system ("Site"). Please read this Agreement carefully as it states the terms under which we make our services available to you.
1. Services
1.1. Services. DocBook will provide you with services ("Services") that allow you to list your business on the Site and accept online appointments made through the Site by registered patients or other types of customers ("User"). DocBook will provide you with a web-based account ("Account") through which you maintain your listing on the Site, which may include a short profile of your business.
1.2. Integration Requirements. In order to use the Services, you will be required to meet certain technical requirements, including the installation of certain software on your computer systems ("Integration Software"). The Integration Software integrates the Site with your practice management system software and facilitates the transmittal of Bookings made on the Site to your practice management system. These technical requirements are available upon request and you acknowledge that you have had the opportunity to review those requirements before accepting this Agreement. The Integration Software only supports certain practice management systems. No ownership of any proprietary rights in the Integration Software is transferred to you. DocBook grants you a license to use the Integration Software only for the purposes of using the Services supplied under this Agreement.
1.3. Integration. DocBook will assist you to install the Integration Software on the computer systems you designate. You represent you have the authority to permit DocBook to install the Integration Software on such systems, and such act will not infringe or violate the rights of any third party. DocBook warrants that the Integration Software will be free of viruses. If the Integration Software fails to install correctly after diligent efforts by both parties, this Agreement will terminate.
2. Fees
2.1. Fees. The DocBook booking Service is free of charges. Any other charges will be explicitly detailed but may not be applicable to You.
2.2. Taxes and Currency. The fees described are inclusive of any applicable GST. All monetary amounts specified are in Australian dollars.
2.3. Bookings. In this Agreement, a "Booking" refers to an appointment that is made by a User through the Site with your business. A Booking is considered "successful" if it is not cancelled before the User attends the appointment. For the avoidance of doubt, a Booking is successful if the User does not show for the appointment, but has not cancelled the appointment through the Site.
3. Acceptable Use Policy
You agree that your use of the Services is subject to your compliance with the following requirements:
(a) you may not use your Account to impersonate any person, or stalk or harass another person;
(b) you may not use the Services or your Account in a fraudulent or illegal manner;
(c) you must keep the details in your Account profile and business listing on the Site accurate and truthful;
(d) you may not intentionally or recklessly use the Services in a way that materially adversely impacts upon the performance of our Services for other customers or Users; and
(e) you must use your best endeavours to contact a User promptly if you become aware that you will not be able to fulfill such User's appointment. We may terminate your Account and this Agreement if you repeatedly are unable to fulfill Users' appointments in a timely manner. Before we terminate your Account, however, we will provide you with written notice of such problems and give you a reasonable opportunity to remedy them.
4. Limitations of Liability and Disclaimers
Other than as expressly set out in this Agreement, DocBook makes no express or implied warranties in relation to the Services. The Services are provided "as is" and we do not warrant that they will be provided uninterrupted or error free. This disclaimer of warranties specifically includes any Integration Software loaded onto your computer systems, and we will not be responsible for any disruption or loss of data caused by that software or the installation of it on your systems. You agree that we will not be liable in respect of any claim by you (whether arising in contract, tort, under statute or otherwise) for any indirect, special, incidental, consequential damages or injury including loss of profits, revenue or data arising out of or in connection with the provision of Services under this Agreement, and whether as a result of any breach or negligence by us. Our maximum liability under this Agreement for all breaches and any negligence will not exceed the lesser of A$100.00 and the amount of fees actually paid by you to us under this Agreement during the last 12 months. Anything in this Agreement which limits or excludes any term, condition or warranty, express or implied, or our liability will apply to the extent permitted by applicable law and will not be construed as excluding, qualifying or limiting your statutory rights or remedies arising by virtue of the breach of any implied term of this Agreement where such exclusion, qualification or limitation would be prohibited by legislation.
5. Indemnity
You indemnify us, our agents, officers, employees, and third party service providers ("Indemnified Parties") against any third party claim, loss, cost, expense or damage (including legal costs on a full indemnity basis) which any of the Indemnified Parties suffer or incur as a direct or indirect result of: (a) any breach by you of any representation, warranty or term of this Agreement; (b) any infringement by you of the intellectual property rights of a third party arising from any data, information or content you provide to us in connection with the Services; (c) any violation of law; and (d) any legal proceedings threatened or initiated against us by a third party as a result of the events described in paragraphs (a), (b) and (c).
6. Term and Termination
This Agreement continues until terminated. We may suspend your Account for as long as is reasonable necessary to investigate a reported breach of this Agreement by you, or if we believe on reasonable grounds that you have breached this Agreement. Either party may terminate this Agreement upon written notice to the other party if the other party breaches this Agreement and does not cure such breach within 7 days of receiving written notice of such breach. Either party may terminate this Agreement upon at least 30 days' prior written notice to the other party, provided that the termination of the Agreement will occur on the last day of a calendar month. You may request DocBook to temporarily suspend your Account from accepting any Bookings by request. If required by technical reasons, system maintenance, or by law, DocBook may temporarily de-list your business profile from the Site or suspend your Account from accepting any Bookings at any time, provided that DocBook providing you with prompt notice of such action. Termination or closure of your Account will result in the termination of this Agreement Upon termination of this Agreement: (a) DocBook will invoice you for all fees accrued up to the date of termination, and you will pay that invoice within 30 days of the date it is issued; and (b) your Account will be closed, if it has not been closed already.
7. Privacy
Our Privacy Policy located at applies to your use of the Services. You warrant that you will comply with applicable data privacy laws (including the Privacy Act 1988 (Cth)) in relation to your submission of any personal information to the Services.
8. General
IP. You grant a worldwide, royalty free, perpetual license to us to use any content or works that you submit to us (include your logo and other trademarks) during your use of the Services for the purposes of providing you with the Services and DocBook promoting and marketing the Services.
Amendments. This Agreement may only be amended by a writing signed by each party.
Notices. We may send you notices by email to the email address registered under your Account.
Entire Agreement. This Agreement and any user policies posted on the Site ( supersede all prior and contemporaneous representations, arrangements, understandings and agreements between the parties relating to the subject matter of this Agreement, and sets out the entire agreement between the parties relating to such subject matter.
Waivers; Remedies; Severability. A provision of or a right created under this Agreement may not be waived except in writing signed by the party or parties to be bound by the waiver. No single or partial exercise by any party of any right, power or remedy under this Agreement will preclude any other or further exercise of that or any other right, power or remedy. The rights, powers or remedies provided in this Agreement are cumulative with and not exclusive of any rights, powers or remedies provided independently of this Agreement. If any provision of this Agreement is judged invalid or unenforceable for any reason whatsoever by a court of competent jurisdiction, such invalidity or unenforceability (unless deletion of such provision would materially adversely affect one of the parties) will not affect the operation or interpretation of any other provision of this Agreement to the intent that the invalid or unenforceable provision will be treated as severed from this Agreement.
Assignment. DocBook may assign our rights and novate or transfer obligations with arise under this Agreement. You may not assign your rights or novate or transfer obligations which arise under this Agreement without our prior written consent.
Governing law. This Agreement is governed by the laws of the State of New South Wales, Australia. The parties irrevocably submit to the exclusive jurisdiction of the courts located in the State of New South Wales.
